GLOBAL SHIPPING & OPERATIONAL POLICY

Effective Date: August 19, 2025. Please review our comprehensive commercial agreement dictating freight, liability, warranties, and payment structures prior to initiating a purchase.

1. Commercial Agreement & Binding Terms

By placing a formal order with JANVI PACKAGING (hereinafter referred to as the "Company"), you (the "Buyer") legally acknowledge that you have comprehensively read, understood, and agreed to be bound by the ensuing terms. These stipulations constitute a legally binding commercial contract. Janvi Packaging reserves the absolute right to unilaterally amend these terms at any juncture without prior notification.

2. Pricing, Taxes & Statutory Levies

  • Ex-Works Pricing: All commercial quotations are strictly designated as "Ex-Works" (Mumbai Facility). Quoted prices explicitly exclude domestic transportation, international freight, transit insurance, or onsite installation charges unless formally ratified in writing.
  • Freight & Insurance Liability: The financial burden for all shipping operations, handling fees, and transit insurance premiums rests solely and exclusively with the Buyer.
  • Statutory Levies & Export Compliance: The Buyer assumes total liability for all applicable customs duties, excise taxes, export/import tariffs, dock fees, and entry taxes. For international shipments, the Buyer is exclusively responsible for all destination-side regulatory filings, including Importer Security Filing (ISF), import licensing, and customs clearance.
  • Zero Liability for Port Penalties: In the event the Buyer fails to clear customs promptly or accurately file necessary import documentation, Janvi Packaging unequivocally disclaims all liability for any resulting port demurrage, detention fees, warehousing charges, or governmental penalties.
  • Taxation & Packing: GST and governmental taxes will be applied extra as per dispatch-date regulations. Furthermore, mandatory professional wooden crating for safe transit will incur an additional 2-3% of the total order value.
  • Price Volatility: Machine pricing is subject to unannounced modifications dictated by the global fluctuation of raw material costs (e.g., steel indices). The effective price shall be the one applicable at the exact date of dispatch.

3. Corporate Payment Protocols

To ensure seamless global manufacturing timelines, our financial terms are non-negotiable and strictly enforced:

  • 50% Initial Commitment: A non-refundable advance of 50% is requisite to confirm an order. Industrial production will under no circumstances commence until this realization hits our corporate accounts.
  • Dispatch Clearance: The remaining 50% balance must be cleared immediately upon our official "Ready for Dispatch" notification. Machinery will not cross our factory threshold until financial settlement is complete.
  • Cancellation Penalty: Should the Buyer prematurely terminate an active order, the 50% advance is comprehensively forfeited to absorb sunken labor and raw material costs.
  • Warehousing Charges: Failure to settle the balance or lift the machinery within 7 days of dispatch notification will trigger a penalty warehousing charge of ₹500 per day.

4. Global Logistics & Force Majeure

Estimated Timelines: While standard delivery operations require 8 to 15 days, these windows are strictly estimates. Time is not of the essence in this commercial contract. Janvi Packaging holds zero liability for revenue losses, penalties, or damages originating from delayed deliveries.

Force Majeure: The Company is fully exonerated from contractual obligations should failure result from Acts of God (natural disasters), warfare, governmental sanctions, embargos, labor strikes, nationalization, or critical infrastructure/power failures.

5. Risk of Loss & Transit Indemnity

Transfer of Ownership: Legal ownership and all associated risks transfer to the Buyer the precise moment the machinery exits our Mumbai factory premises.

Buyer's Absolute Risk: All logistics are executed strictly at the Buyer's risk. Janvi Packaging accepts absolutely zero responsibility for transit denting, breakage, theft, or catastrophic loss. The Buyer must proactively secure third-party transit insurance, as we do not initiate coverage unless pre-financed and formally requested.

6. Return Policy & Limited Warranty

  • Zero Returns: Given the heavy-industrial framework of our machines, all commercial transactions are final. We maintain a strict no-return and no-exchange policy under any circumstances.
  • Strict Motor-Only Warranty (India Only): For domestic customers within India, a 6-month limited warranty applies exclusively to the electric motor against core manufacturing defects. Absolutely no other parts, components, or structural elements of the machinery carry any warranty whatsoever.
  • Zero Warranty on Export Orders: For all international customers and export orders (outside India), the machinery is sold strictly on an 'AS-IS' basis. Absolutely no warranty, guarantee, or replacement policy applies to the motor or any other component once the machine leaves the Indian territory.
  • Comprehensive Exclusions: All non-motor components—including but not limited to grinding chambers, SS/MS blades, bearings, rubber parts, belts, switches, sensors, and heating elements—are strictly excluded from any warranty, return, or replacement claims.
  • Back-to-Bench Fulfillment & Transportation: For applicable domestic warranties, resolution operates on a strict "Back-to-Bench" mandate. The defective motor must be transported to our Mumbai Headquarters for repair or replacement. The Buyer bears absolute responsibility for arranging and financing all two-way transportation, freight, and logistics. No onsite repairs or technical visits will be entertained.

7. Liability Limitation & Governing Jurisdiction

Limitation of Industrial Liability: In no commercial event shall Janvi Packaging be pursued for indirect, incidental, special, or consequential damages (including, but not limited to, halted production lines, lost profit, or business interruption). Our absolute maximum financial liability is capped at the repair or replacement of the defective machine part as outlined in Clause 6.

Zero Onsite Installation & Setup: Janvi Packaging operates strictly as a machinery manufacturer. We do not provide onsite installation, commissioning, or any physical technician visits under any circumstances. The Buyer assumes absolute and sole responsibility for hiring qualified local professionals to install and operate the machinery. Janvi Packaging accepts zero liability for any damages, operational failures, short-circuits, or injuries arising from improper installation. Furthermore, all provided machine schematics remain our proprietary Intellectual Property; the Buyer explicitly agrees not to reverse-engineer our industrial designs.

Exclusive Jurisdiction: This comprehensive contract is governed by the laws of India. Any emergent dispute, difference, or legal claim shall be subject to the sole and exclusive jurisdiction of the judicial courts located in Mumbai, Maharashtra. The Buyer irrevocably waives the right to initiate legal proceedings in any alternate jurisdiction.
