1. Agreement to Terms

By placing an order with JANVI PACKAGING (hereinafter referred to as the "Company"), you (the "Buyer") acknowledge that you have read, understood, and agree to be bound by the following terms and conditions. These terms constitute a legally binding agreement. The Company reserves the right to amend these terms at any time without prior notice.

2. Pricing, Taxes, Duties, and Charges

• Ex-Factory Prices: All prices quoted are "Ex-Factory" (Mumbai). They do not include transportation, insurance, or installation charges unless explicitly stated in writing.
• Freight & Insurance Liability: All freight charges, shipping costs, handling fees, and transit insurance premiums are the sole and exclusive responsibility of the Buyer. Janvi Packaging assumes no liability for these costs.
• Customs, Excise & Statutory Levies: The Buyer shall be solely liable for the payment of all customs duties, excise taxes, import/export duties, clearance charges, dock fees, octroi, entry taxes, and any other statutory levies or assessments imposed by any local, state, national, or international authority. Janvi Packaging is explicitly not responsible for any such charges, nor for any detention, seizure, or delay of goods caused by customs or regulatory authorities.
• Taxes: GST and other applicable taxes are extra as per government regulations prevailing at the time of dispatch.
• Price Validity: Prices are subject to change without notice due to fluctuations in raw material costs (e.g., steel prices). The price valid at the time of dispatch shall apply.
• Packing & Forwarding: Professional wooden/crating packing is mandatory for safety and will be charged extra (typically 2-3% of order value).

3. Strict Payment Terms

Our payment terms are strictly enforced to ensure timely production:

• 50% Advance: A non-refundable advance of 50% is required to confirm the order. Production will strictly not commence until this advance is realized in our bank account.
• Balance Before Dispatch: The remaining 50% balance must be paid immediately upon notification that the goods are ready for dispatch. Goods will not leave our factory premises until the full payment is received.
• Cancellation: In the event of order cancellation by the Buyer, the 50% advance payment shall be forfeited to cover cost of materials and labor.
• Delayed Lifting: If the Buyer fails to pay the balance or lift the material within 7 days of the "Ready for Dispatch" notification, a warehousing/holding charge of ₹500 per day will be applicable.

4. Delivery and Force Majeure

Delivery Dates are Estimates: While we strive to deliver within 8-15 days, any delivery date given is an estimate only. Time is not the essence of this contract. Janvi Packaging shall not be liable for any losses, damages, or penalties arising from delays in delivery.

Force Majeure: The Company is not liable for failure to perform its obligations if such failure is as a result of Acts of God (including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities (regardless of whether war is declared), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout or interruption or failure of electricity or telephone service.

5. Transit Risk and Ownership

• Ownership Transfer: Ownership of the goods passes to the Buyer immediately upon the goods leaving our factory gate.
• Buyer's Risk: All goods travel strictly at the Buyer's Risk. Janvi Packaging is not responsible for any breakage, denting, theft, or loss during transit.
• Insurance: It is the sole responsibility of the Buyer to arrange for transit insurance. We do not insure goods unless specifically requested and paid for by the Buyer in advance.

6. Limitation of Liability

In no event shall Janvi Packaging be liable for any indirect, special, incidental, or consequential damages (including, but not limited to, loss of profit, loss of production, or business interruption) arising out of the use or inability to use the machinery, even if we have been advised of the possibility of such damages. Our total liability shall explicitly be limited to the repair or replacement of defective parts as per the Warranty clause.

7. Warranty and Returns Policy

No Returns / No Exchange: Goods once sold will not be taken back or exchanged under any circumstances.

Limited Warranty:

• Duration: 6 months warranty on manufacturing defects only.
• Exclusions: Warranty does not cover electrical parts (Motors, Switches, Sensors, Heating Elements) as these are subject to voltage fluctuations at the Buyer's end. Warranty does not cover rubber parts, belts, or normal wear and tear.
• Back-to-Bench Service: Our warranty is "Back to Bench." This means the defective part or machine must be sent to our Mumbai factory at the Buyer's cost for repair. We do not provide onsite warranty or mechanic visits unless travel and accommodation charges are paid by the Buyer.

8. Installation and Training

Unless explicitly agreed in the invoice, prices do not include installation or training. Installation visits by our technicians are chargeable. The Buyer must provide all necessary utilities (electricity, water, raw material) before the technician arrives.

9. Intellectual Property

All designs, specifications, and documentation provided by Janvi Packaging remain our property. The Buyer agrees not to reverse engineer or copy our machine designs.

10. Governing Law and Exclusive Jurisdiction

This contract shall be governed by the laws of India. Any dispute, difference, or claim arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra. The Buyer explicitly waives the right to file legal proceedings in any other jurisdiction.
